My Costa Rican Corporation Only Owns a House. What Tax and Filing Obligations Still Apply?
Many foreign property owners in Costa Rica hold a home through a Costa Rican corporation.
The corporation may not run a business. It may have no employees, no customers and no sales. It may simply hold title to a house used by the owners for vacations or personal use.
That often leads to a reasonable question:
If the corporation does not actually do anything, does it still have tax and filing obligations?
The short answer is that an inactive corporation can still have several ongoing responsibilities.
The important distinction is that inactive does not mean nonexistent — or obligation-free.
What does “inactive corporation” mean in Costa Rica?
For tax purposes, an inactive legal entity generally refers to an entity that does not carry out an economic or profit-generating activity.

Costa Rica's current rules distinguish these entities from companies conducting economic activity.
However, the Ministry of Finance also makes clear that legal entities can remain subject to formal and material tax obligations even when they do not conduct business. Procuraduría General de la República
Consider a simple example.
Suppose ABC Holdings S.R.L. owns a vacation home in Guanacaste. The owners use the property personally. The corporation does not rent the house, employ anyone or operate another business.
ABC may be inactive economically, but there are still several areas its owners should monitor.
1. Annual tax on legal entities
Costa Rica imposes an annual Impuesto a las Personas Jurídicas on qualifying legal entities.
For the 2026 period, the Ministry of Finance set the amount for inactive companies at ₡69,330, equal to 15% of the applicable base salary. The deadline for the 2026 payment was February 2, 2026. The amount can change from year to year because it is linked to the applicable salary base. Hacienda
So a corporation does not avoid this tax merely because the house produces no income.
2. The inactive-entity information return
Inactive legal entities registered in Costa Rica's tax registry also have an annual information-reporting obligation.
Under the current rules, the Informativa de Personas Jurídicas Inactivas must generally be submitted by April 30 each year through TRIBU-CR. It reports information concerning the entity's assets and obligations for the previous calendar year. Procuraduría General de la República
For a corporation whose primary asset is a house, this is one reason it remains important to maintain reliable records even though the corporation is not operating like a conventional business.
3. Beneficial ownership reporting
The corporation may also have an obligation under Costa Rica's Registro de Transparencia y Beneficiarios Finales (RTBF).
The RTBF requires covered legal entities to report information concerning their ownership and ultimate beneficial owners. Under the current rules, the ordinary annual declaration is submitted during April each year. Poder Judicial
This requirement concerns who owns or controls the entity. It does not disappear simply because the corporation's only asset happens to be residential real estate.
4. The Education and Culture Stamp Tax
Another obligation that can easily be overlooked is the Timbre de Educación y Cultura (TEC).
For 2026, the Ministry of Finance stated that mercantile companies registered in the Mercantile Section were required to pay this tax by March 31. The amount depended on registered capital and ranged from ₡5,000 to ₡18,000 for the applicable period. Hacienda
This is relatively small compared with many other taxes, but it illustrates why an apparently dormant corporation should not simply be forgotten.
5. Municipal property tax still applies
The corporation also owns real estate, so the property itself has obligations separate from the corporation's corporate filings.
Costa Rica's general municipal real-estate tax is 0.25% of the property's registered taxable value. Property owners are also generally required to declare the value of their real estate to the relevant municipality at least once every five years. Procuraduría General de la República
The fact that the shareholder personally uses the house does not change the identity of the registered property owner when title is held by the corporation.
Could the Solidarity Tax also apply?
For higher-value homes, another tax may need to be reviewed.
For 2026, the Impuesto Solidario para el Fortalecimiento de Programas de Vivienda applies to residential, occasional-use or recreational properties when the value of the construction plus fixed and permanent installations exceeds ₡143 million. The 2026 filing and payment deadline was January 15. Hacienda
Because the threshold and applicable tax brackets can change, this should be checked each year for higher-value properties.
What records should the owners keep?
An inactive corporation may not require the same day-to-day bookkeeping process as a company generating hundreds of business transactions every month.
But that does not mean records are unnecessary.
For a property-holding corporation, it is prudent to keep organized documentation showing items such as the acquisition of the property, major improvements, amounts contributed or loaned by shareholders, corporate capital changes, municipal property-tax payments, corporate tax payments and other significant transactions affecting the corporation.
That documentation can help support the information reported for the corporation and make future events — such as a sale, transfer, rental activity or ownership change — much easier to address.
What if the property starts generating rental income?
This is where the analysis can change significantly.
If the property generates Airbnb income, the bookkeeping picture becomes considerably different.
If ABC Holdings begins renting its Guanacaste house through Airbnb, a property manager or directly to tenants, the owners should not assume that the corporation should continue to be treated in the same way as an inactive house-holding entity.
The current tax framework associates inactive status with the absence of economic activity. Once rental or other business activity begins, registration, tax, invoicing, bookkeeping and reporting requirements should be reviewed based on the new facts. Procuraduría General de la República
That is also why it is useful to review a corporation before changing how a property is used rather than waiting until the following tax season.
The bottom line
A Costa Rican corporation that only owns your house may look inactive from a business perspective, but it should not simply be ignored.
Depending on its circumstances, there may still be annual corporate taxes, inactive-entity reporting, beneficial-ownership reporting, the Education and Culture Stamp Tax, municipal property taxes and, for some higher-value homes, the Solidarity Tax.
The appropriate level of accounting support is not necessarily the same as it would be for an active rental or operating company. The goal is to understand which obligations actually apply and maintain enough reliable information to meet them properly.
